1. Agreement and eligibility
These Terms of Use (the “Terms”) are an agreement between you and iPolytex Limited (“iPolytex”, “we”, “us”). By creating an account, purchasing a subscription, or using our websites, IntelliFusion platform, APIs or related services (together, the “Services”), you agree to these Terms and our Privacy Policy and Acceptable Use Policy.
You must be at least 18 years old and legally capable of entering into this agreement. If you use the Services for an organisation, you confirm that you have authority to bind it and “you” includes that organisation.
2. Accounts and access
You must provide accurate information, keep your credentials confidential, and promptly notify support@ipolytex.com of suspected unauthorised access. You are responsible for activity under your account and for ensuring that authorised users comply with these Terms. Accounts and access credentials may not be sold, transferred or shared outside your authorised organisation.
3. Subscriptions, billing and taxes
Paid plans are billed in advance at the price and interval shown at checkout. By submitting a payment method, you authorise iPolytex and its payment processor to charge recurring fees, applicable taxes and agreed usage charges until cancellation. Plans renew automatically unless cancelled before the next renewal date. We may change prices or plan features with reasonable advance notice; a price change applies from a later renewal, giving you an opportunity to cancel first.
Usage limits, included features and seat allowances are described on the Engagement Options page or your order form. Unused allowances do not roll over unless expressly stated. Our Cancellation & Refund Policy explains how to cancel and when refunds may be available.
4. Your content
You retain ownership of data, prompts, files and other material you submit (“Input”). As between you and iPolytex, and to the extent permitted by law, you own the output generated specifically for you (“Output”). You grant us a limited licence to host, process, transmit and display Input and Output only as needed to provide, secure, support and improve the Services, comply with law, and as otherwise authorised by you.
You confirm that you have all rights and permissions needed for your Input and instructions. You must not submit confidential, personal, regulated or proprietary information unless your plan and configuration are appropriate for it and you are authorised to do so.
5. AI outputs and human review
Artificial-intelligence outputs may be incomplete, inaccurate, offensive, outdated or similar to output provided to others. Output is not professional legal, medical, financial or other expert advice. You are responsible for evaluating its accuracy and suitability, applying appropriate human review, and complying with law before using or sharing it—especially where a decision may materially affect a person’s rights, safety, employment, credit, housing, education, healthcare or access to essential services.
6. Our platform and intellectual property
iPolytex and its licensors retain all rights in the Services, software, design, documentation, trademarks and underlying models, excluding your content. We give you a limited, non-exclusive, non-transferable and revocable right to use the Services during your subscription in accordance with these Terms. You may not reverse engineer the Services, evade limits or safeguards, scrape or extract data except through documented features, or use the Services to build a competing model except where we expressly agree in writing.
7. Third-party services
The Services may connect to third-party models, tools, websites or data sources. Their own terms and privacy practices may apply, and their availability or output is outside our control. You are responsible for enabling connectors and for having the necessary rights to share data with them.
8. Availability and changes
We may update, add, remove or limit features to improve safety, performance or compliance. We do not guarantee uninterrupted or error-free operation. Material changes that significantly reduce a paid plan’s core functionality will be communicated where reasonably practicable.
9. Suspension and termination
You may stop using the Services and cancel a paid subscription at any time. We may restrict or suspend access when reasonably necessary to address security risk, unlawful conduct, non-payment, material breach, harm to others, or violations of our policies. We may terminate for material breach after notice where cure is appropriate, or immediately for urgent security, legal or safety reasons. Provisions that by their nature should survive termination—including ownership, disclaimers, liability and dispute terms—will survive.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”. We disclaim implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, iPolytex will not be liable for indirect, incidental, special, exemplary or consequential loss, or loss of profits, revenue, goodwill, opportunity or data. Our aggregate liability arising from the Services will not exceed the fees you paid us for the Services during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited, including liability for fraud or death or personal injury caused by negligence.
12. Indemnity
If you use the Services for a business or organisation, you will indemnify iPolytex and its personnel against third-party claims, losses and reasonable costs arising from your content, your unlawful use, or your material breach of these Terms, to the extent permitted by law.
13. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction, subject to any consumer rights that require a different forum. Before filing a claim, please contact us and allow 30 days for an informal resolution attempt.
14. Changes and contact
We may update these Terms. We will post the revised version and update the date above, and provide reasonable notice of material changes. Continued use after changes take effect means you accept them; if you disagree, stop using the Services and cancel before renewal.
